• Amendment of the articles of association (Satzungsänderung) The articles of association (Satzung) were amended, e.g. by resolution of the general meeting of members

• Antrag auf Eintragung der Satzungsänderung (Application for entry of the amendment to the articles of association) (Anmeldung) The application must be submitted by the Vorstand (executive board) in the number of members authorized to represent the association under § 26 BGB (German Civil Code). Their signatures on the application must be publicly certified. To do this, the board members generally have to go to a notary. Required content of the Anmeldung (application): State which body (usually the Mitgliederversammlung, general meeting of members) amended which paragraphs, or whether the articles of association were completely redrafted. • Basis for the amendment of the articles of association: resolution on amendments to the articles of association If (for example) the Mitgliederversammlung has resolved the amendment of the articles of association, please submit the minutes of this meeting. Required content of the minutes: name of the association, date of the meeting, indication of the paragraphs and the wording of the amendment, voting result (number of yes and no votes). If the articles of association of your association make the quorum of the meeting dependent on a condition being met (for example, that a certain proportion of the members are present), you must note in the minutes that the Mitgliederversammlung had a quorum. Resolutions on amendments to the articles of association can only be validly passed if they were announced in the letter of invitation. • Basis for the amendment of the articles of association: resolution on the redrafting of the articles of association If the members have resolved to redraft the articles of association, please submit the minutes of the Mitgliederversammlung. Required content of the minutes: name of the association, date of the meeting, resolution on the redrafting of the articles of association stating the voting result (number of yes and no votes). If the articles of association of your association make the quorum of the meeting dependent on a condition being met (for example, that a certain proportion of the members are present), you must note in the minutes that the Mitgliederversammlung had a quorum. A resolution on a redrafting of the articles of association can only be validly passed if it was announced in the letter of invitation. • Satzung (articles of association) For amendments to the articles of association: You must submit a complete copy of the articles of association. You must incorporate the resolved amendments into this copy of the articles of association. Please note that, in the provisions that have not been changed, the articles of association must match the version last entered in the Vereinsregister (register of associations). For a redrafting of the articles of association: You must submit a complete copy of the articles of association. Label this copy (heading) as an attachment to the minutes of the Mitgliederversammlung of ... . Have the copy of the articles of association signed by the same persons who signed the minutes.
