• Partnership agreement (Gesellschaftsvertrag) For an OHG (offene Handelsgesellschaft, general partnership) to come into existence, a contract must be concluded between all partners, who must have unlimited liability. • The contract does not require any particular form. • Commercial trade or pure asset management • If you operate a commercial trade (Handelsgewerbe) as an OHG, you are required to register in the Handelsregister (commercial register). • If you only carry out a purely asset-managing activity or a small business (Kleingewerbe), you may register as an OHG. • The distinction depends on the nature or scope of the business. • Notarially certified form The signatures of all partners on the registration must be certified. Contact a notary's office (Notariat) of your choice for this. • Electronic transmission of the registration by the notary's office The Handelsregister (commercial register) is maintained exclusively electronically. The electronic document (registration) is transmitted to the Registergericht (registry court) by the notary's office.

• Application for registration (Anmeldung) The commercial register court (Handelsregistergericht) only acts on the basis of an application for registration (Anmeldung / Eintragungsantrag). The application for registration must contain: • Firma (company name) • Registered office (Sitz): Berlin • Business address in a member state of the European Union • Surname, first name, date of birth, and place of residence of all partners/shareholders (Gesellschafterinnen und Gesellschafter), or, if a partner/shareholder is a legal entity or a legally capable partnership, its company name or name, legal form, registered office, and, where legally required, the competent register and register number • Representation arrangements (Vertretungsregelungen) of the company • Business purpose (Unternehmensgegenstand) (field of activity of the company)

• 100.00 euros: for the initial registration of an OHG (offene Handelsgesellschaft, general partnership) with up to 3 partners • 40.00 euros additional: for each further partner • In addition, a provision fee (Bereitstellungsgebühr) amounting to 1/3 of the cost of the registration is charged.
