Handelsregister (commercial register) - Registration as a Kommanditgesellschaft (KG, limited partnership)

• Gesellschaftsvertrag (partnership agreement) The formation of the KG (Kommanditgesellschaft, limited partnership) requires the conclusion of an agreement between all partners. A partner's status is determined by their liability. This can be unlimited (Komplementärin or Komplementär, general partner) or limited to a specific amount (Kommanditistin or Kommanditist, limited partner). • The KG must have at least one Komplementärin or Komplementär (general partner) and one Kommanditistin or Kommanditist (limited partner). • The agreement does not need to have a specific form. • Commercial business or pure asset management • If you operate a commercial business (Handelsgewerbe) as a KG, you are required to register in the Handelsregister (commercial register). • If you carry out only a pure asset-management activity or a small business (Kleingewerbe), you may register as a KG. • The distinction depends on the type or scale of the business. • Notarized form The signatures of all partners under the registration (Anmeldung) must be notarized. Contact a notary's office (Notariat) of your choice for this. • Electronic transmission of the registration by the notary's office The Handelsregister (commercial register) is maintained exclusively electronically. The electronic document (registration) is transmitted by the notary's office to the Registergericht (register court).

• Registration (Anmeldung) The Handelsregistergericht (commercial register court) acts only on the basis of a registration (application for entry). The registration must contain: • Firma (company name) • Registered office: Berlin • Business address in a member state of the European Union • Surname, first name, date of birth, and place of residence of all partners, or, if a partner is a legal entity or a legally capable partnership, that partner's company name or name, legal form, registered office and, where legally required, the competent register and registration number • Amount of the liability sum of the limited partners (Kommanditistinnen/Kommanditisten) • Representation arrangements of the general partners (Komplementärinnen/Komplementäre) • Business purpose (the company's field of activity)

• 100.00 euros: For the initial registration of a KG (Kommanditgesellschaft, limited partnership) with up to 3 partners • 40.00 euros additional: For each further partner • In addition, there is a provision fee amounting to 1/3 of the cost of the registration.
