Unternehmensbeteiligungsgesellschaft (business investment company) - Waive recognition

A Unternehmensbeteiligungsgesellschaft [business investment company] may waive its recognition as such. This is based on a change to the Unternehmensgegenstand [corporate purpose] or a corresponding amendment to the Satzung [articles of association] or Gesellschaftsvertrag [partnership agreement]. The recognition loses its effect from the day on which the change is entered in the Handelsregister [commercial register]. Verfahrensablauf [Procedure] • As a Berlin Unternehmensbeteiligungsgesellschaft [business investment company], you inform the responsible authority that the Unternehmensgegenstand [corporate purpose] (§ 2 para. 2 sentence 1 UBGG [Gesetz über Unternehmensbeteiligungsgesellschaften - Business Investment Companies Act]) or the Satzung [articles of association] or Gesellschaftsvertrag [partnership agreement] has been changed such that business is no longer conducted in accordance with the UBGG. Supporting documents must be submitted with this notification. • The responsible authority notifies the Handelsregister Berlin [Berlin commercial register] and BaFin [Federal Financial Supervisory Authority] of the change.
